1. Acceptance of Terms

By engaging TQ Automation for engineering services, you agree to these Terms and Conditions.

2. Scope of Services

2.1 Services Provided

  • Feasibility studies and technical assessments

  • Design engineering (mechanical, electrical, civil, process)

  • Project management and execution support

  • Equipment specification and procurement support

  • Commissioning, testing, and optimization

  • Digital solutions (IoT, data analytics, automation)

  • Sustainability and decarbonization strategies

2.2 Sectors

  • Oil & Gas: Upstream, midstream, downstream, LNG, pipelines, refineries

  • Renewable Energy: Solar, wind, hydrogen, CCUS, biomass, energy storage

3. Client Responsibilities

  • Provide accurate project information and technical data

  • Grant necessary access to facilities and documentation

  • Appoint a qualified project representative

  • Review and approve deliverables within agreed timelines

  • Comply with safety, environmental, and regulatory requirements

  • Pay fees as specified

4. Fees and Payment

4.1 Pricing

  • Fees as specified in service agreement or quotation

  • Additional work may incur additional charges (written approval required)

4.2 Payment Terms

  • Payment due within 30 days of invoice date

  • Late payments incur interest at 1.5% per month

  • We may suspend services for overdue payments

4.3 Taxes

  • Fees exclusive of applicable taxes (GST, VAT, etc.)

  • You are responsible for all taxes unless otherwise specified

5. Intellectual Property

5.1 Our IP

  • All pre-existing methodologies, tools, software, and know-how remain our property

5.2 Project Deliverables

  • Custom deliverables created for you are licensed/transferred per service agreement

  • You receive usage rights for operations but cannot resell our engineering IP

5.3 Documentation

  • All reports, drawings, and technical documents are confidential

  • Unauthorized distribution is prohibited

6. Confidentiality

Both parties agree to:

  • Keep proprietary information confidential

  • Not disclose to third parties without written consent

  • Maintain confidentiality for 5 years after project completion

7. Warranties

7.1 Our Warranties

  • Services performed professionally by qualified engineers

  • Deliverables meet agreed specifications and industry standards

  • Compliance with applicable laws and regulations

7.2 Limitations

  • No guarantee of specific business outcomes

  • Client-provided data accuracy is not our responsibility

  • External factors may affect outcomes

8. Liability and Indemnification

8.1 Liability Limitation

  • Total liability limited to fees paid for the specific project

  • Not liable for indirect, consequential, or punitive damages

8.2 Indemnification

  • You indemnify us against claims from your negligence, safety violations, or data inaccuracies

  • We indemnify you against claims from our negligence or breach

9. Safety and Compliance

9.1 Safety Standards

  • Work complies with OSHAISO 45001, and industry safety standards

  • Site work requires adherence to client’s safety protocols

9.2 Regulatory Compliance

  • We comply with Oil & Gas and Renewable Energy regulations

  • Clients are responsible for permits and regulatory approvals

10. Termination

10.1 By Either Party

  • Terminate with 30 days written notice for material breach

  • Immediate termination for safety violations or illegal activities

10.2 Effect of Termination

  • You pay for work completed up to termination date

  • We return applicable deliverables and confidential information

11. Dispute Resolution

11.1 Negotiation

  • Parties attempt to resolve disputes through good-faith negotiation

11.2 Arbitration

  • If unresolved, disputes go to arbitration in Houston, Texas, USA

  • Arbitration under Texas Arbitration Act

11.3 Governing Law

  • These terms are governed by laws of Texas, USA

12. Modifications

We may update these Terms. Continued engagement constitutes acceptance.

13. Entire Agreement

These Terms, together with your service agreement, constitute the complete agreement.
